These Terms of Service ("Terms") govern your access to and use of aperisa.com, the Aperisa web application, and any related services (together, the "Services") provided by Aperisa Technologies Inc. ("Aperisa," "we," "us"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Please read these Terms carefully. They include an arbitration agreement and class-action waiver in Section 14 that affect your legal rights.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that you can form a binding contract with us.
To use most features you must create an account. You agree to provide accurate information and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@aperisa.com if you suspect any unauthorized access. We may suspend or terminate accounts that we believe are being used in violation of these Terms.
2. The Services
Aperisa is a personal knowledge graph that organizes data you choose to connect — such as documents, email, calendar, and financial accounts — into a structured profile you can query directly or expose to AI agents and integrations you authorize. We may add, modify, or remove features of the Services at any time. Material changes will be communicated through the Services or by email when feasible.
3. Your Content and Connected Data
3.1 Ownership
You retain all rights in the data you connect to Aperisa and in the content you create through the Services ("Your Content"). We do not claim ownership of Your Content.
3.2 License to operate the Services
You grant Aperisa a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, transform, display, and otherwise use Your Content solely as needed to provide, secure, and improve the Services and to perform our obligations to you. This license ends when you delete Your Content or close your account, subject to limited retention as described in our Privacy Policy.
3.3 Use of data for model training
We do not use Your Content to train third-party foundation models. We may use aggregated or de-identified information that cannot reasonably be linked back to you or your account to improve the Services.
3.4 Connected accounts
When you connect a third-party account (for example, Google Drive, Gmail, Google Calendar, or a financial account through Plaid), you authorize Aperisa to access and process data from that account in accordance with the permissions you grant. Your use of any third-party service remains subject to that service's own terms. You may disconnect any source at any time through your account settings.
3.5 Your responsibility for Your Content
You are solely responsible for Your Content, including ensuring that you have the rights to connect it to Aperisa and that doing so does not violate any law or third party's rights. Do not connect data you are not authorized to share with us.
4. AI Features and Agent Integrations
The Services include AI-powered features and allow you to expose your knowledge graph to AI agents and integrations — including via the Model Context Protocol (MCP) and similar interfaces. AI output can be inaccurate, incomplete, or out of date. You are responsible for reviewing AI-generated content before relying on it, especially for decisions that have legal, financial, medical, or other significant consequences.
When you authorize an external agent or integration to access your data, you are responsible for understanding what that agent can do and for revoking access when you no longer want it. Aperisa is not responsible for the actions of third-party agents or applications you authorize.
5. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation
- Connect data you do not have the right to connect, including another person's data without their consent
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems
- Reverse engineer, decompile, or extract source code from the Services, except to the extent permitted by law
- Interfere with or disrupt the Services, including by introducing malware, abusing rate limits, or scraping at volumes that degrade service for others
- Use the Services to generate, store, or distribute illegal content, infringing content, or content that violates the rights of others
- Use the Services to build or train a competing product
- Resell, sublicense, or commercially exploit the Services without our written permission
6. Fees and Billing
Some features of the Services may require payment. Applicable fees, billing frequency, and any free or trial allowances will be presented to you at the time of purchase. Unless stated otherwise, fees are non-refundable. We may change pricing for future billing periods on reasonable notice. Failure to pay may result in suspension or termination of paid features. You are responsible for all taxes associated with your use of paid features, other than taxes based on our net income.
7. Third-Party Services
The Services interoperate with third-party services such as Google, Plaid, and AI providers. Aperisa is not responsible for third-party services, their availability, or their content. Your use of any third-party service is governed by that service's own terms and privacy policies.
8. Aperisa Intellectual Property
The Services, including all software, content, and trademarks (other than Your Content), are owned by Aperisa or its licensors and are protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes. All rights not expressly granted are reserved.
If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
9. Privacy
Our handling of personal information is described in our Privacy Policy, available at aperisa.com. The Privacy Policy is incorporated into these Terms by reference.
10. Service Availability
We work to keep the Services available and reliable, but we do not guarantee uninterrupted, error-free, or secure operation. The Services may be temporarily unavailable for maintenance, upgrades, or reasons beyond our control. We may suspend or modify the Services at any time.
11. Termination
You may stop using the Services at any time and may close your account through your account settings or by contacting us. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, if continued provision of the Services to you would expose us or others to legal or security risk, or if we discontinue the Services.
Upon termination, your right to use the Services ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, APERISA DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, APERISA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Dispute Resolution; Arbitration; Class-Action Waiver
Please read this section carefully. It requires you to arbitrate disputes with Aperisa and limits the way you can seek relief from us.
14.1 Informal resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@aperisa.com. We will try to resolve the dispute by contacting you. If we cannot resolve the dispute within 60 days, either party may bring a formal proceeding.
14.2 Binding arbitration
Except for claims that qualify for small-claims court and for claims of intellectual-property infringement, any dispute between you and Aperisa arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its applicable rules. The arbitration will be conducted in Los Angeles County, California, or another location the parties agree to, or by video conference. The arbitrator's decision will be final and binding.
14.3 Class-action waiver
You and Aperisa agree to bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate the claims of multiple parties.
14.4 30-day opt-out
You may opt out of this arbitration agreement by sending written notice to support@aperisa.com within 30 days of first accepting these Terms. The notice must include your name, your account email, and a clear statement that you opt out of arbitration. Opting out will not affect any other provision of these Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to Section 14, any claim that is not subject to arbitration must be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
16. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Aperisa and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services in violation of these Terms or applicable law; (b) Your Content or data you connect to the Services; or (c) your violation of any third party's rights.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email before the changes take effect. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, stop using the Services.
18. Miscellaneous
These Terms, together with our Privacy Policy and any other documents incorporated by reference, are the entire agreement between you and Aperisa regarding the Services. If any provision is held to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Notices to you may be given through the Services or to the email address associated with your account.
